1. Definitions

In these Terms and Conditions the following terms carry the meanings set out below:

• "Agreement" — these Terms and Conditions together with any service engagement letter or quotation issued by us.
• "Baba Dwellings", "we", "us", "our" — Baba Dwellings Pte. Ltd., a company incorporated in Singapore.
• "Client", "you", "your" — the individual or entity engaging our services or using our Website.
• "Services" — any of our Relaxed Discovery Viewings, Lease Crafting and Coordination, and Tropical Home Stewardship offerings, as described in these Terms.
• "Website" — the website at https://babadwell.live and all associated pages.

2. Acceptance of Terms

By accessing our Website or engaging any Service you confirm that:

• you are at least 18 years of age and have the legal capacity to enter a binding agreement under Singapore law;
• you have read and understood these Terms and Conditions; and
• you agree to be bound by them.

Where you engage our Services on behalf of a company, you represent that you have authority to bind that entity to these terms.

3. Services

Baba Dwellings provides personal advisory services within Singapore's private residential rental market. Our three core services are:

Services are available within Singapore only and limited to the residential sector. We reserve the right to decline instructions where a conflict of interest or regulatory concern arises.

4. Payment Terms

All fees are quoted and payable in Singapore Dollars (SGD). Accepted payment methods include bank transfer and PayNow. Fees for Discovery Viewings are payable prior to each viewing. Lease Coordination fees are payable upon instruction to proceed. Stewardship fees are payable monthly in advance on or before the first day of each service month.

Late payment beyond 14 calendar days may result in suspension of services until the outstanding amount is settled. We do not charge interest on overdue amounts except where required by law.

5. Cancellation and Refunds

• Discovery Viewings: Cancellations with at least 24 hours' notice will receive a full refund. Cancellations with less than 24 hours' notice are non-refundable.
• Lease Coordination: Where work has commenced, fees are non-refundable. If instruction is withdrawn before any work begins, a full refund will be issued.
• Home Stewardship: Either party may terminate the monthly retainer with 30 calendar days' written notice. Fees paid for the current service month are non-refundable. The minimum three-month engagement period must be completed before termination takes effect.

6. User Responsibilities

When using our Website or engaging our Services you agree to:

• provide accurate, complete, and current information when making enquiries or engaging services;
• not use the Website for any unlawful purpose or in any way that infringes the rights of others;
• not attempt to gain unauthorised access to any part of our systems or data;
• not transmit any harmful, offensive, or disruptive content through the Website; and
• inform us promptly of any changes to personal details relevant to your service engagement.

7. Intellectual Property

All content on this Website — including text, property descriptions, written viewing reviews, layouts, and branding — is owned by or licensed to Baba Dwellings. You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for personal, non-commercial purposes.

You may not reproduce, distribute, or commercially exploit any content from this Website without our prior written consent. Property reviews, tenancy compendiums, and advisory documents produced for clients are provided for their personal use in connection with the relevant tenancy only.

8. Disclaimers

Our Services are provided in good faith based on our professional knowledge and experience. However:

• We do not warrant that any property we introduce will be available or suitable for your specific requirements.
• Rental rate benchmarks are based on available market data and are indicative only; market conditions can change.
• Written property reviews represent the professional observations of our advisors and should not be relied upon as a substitute for your own assessment or independent legal or structural advice.
• The Website is provided on an "as is" basis. We do not warrant that it will be available at all times or free from errors.

9. Limitation of Liability

To the fullest extent permitted by Singapore law, Baba Dwellings' aggregate liability to you in connection with any service engagement or use of the Website shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, or incidental loss, including loss of income, loss of tenancy opportunity, or damage arising from a landlord's conduct, regardless of whether such loss was foreseeable. Nothing in these Terms excludes liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable Singapore law.

10. Indemnification

You agree to indemnify and hold harmless Baba Dwellings, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of the Website, or any false or misleading information you have provided to us.

11. CEA Regulatory Obligations

Baba Dwellings is registered with the Council for Estate Agencies (CEA) under the Estate Agents Act. Our conduct is governed by the CEA's professional conduct guidelines and the Code of Ethics and Professional Client Care. Clients who have a complaint about our conduct may raise it with the CEA at cea.gov.sg.

12. Termination

Either party may terminate a service engagement by giving written notice as described in Section 5. We reserve the right to terminate any engagement immediately where:

• you have provided materially false information in connection with the engagement;
• a conflict of interest arises that cannot be resolved; or
• continued engagement would breach applicable law or CEA regulations.

Termination of an engagement does not affect any accrued rights or obligations of either party.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If a resolution cannot be reached within 30 calendar days, either party may refer the matter to mediation through the Singapore Mediation Centre before commencing legal proceedings.

These Terms are governed by and construed in accordance with the laws of Singapore. The parties submit to the non-exclusive jurisdiction of the Singapore courts.

14. General Provisions

• Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties regarding the subject matter and supersede all prior discussions.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force.
• Waiver: Failure to exercise any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Notices: Notices under these Terms should be sent to [email protected] or to our registered office address.

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. For active service engagements, material changes will be communicated by email at least 14 days before they take effect. Continued use of the Website or our Services following any change constitutes acceptance of the revised Terms.
